Offering memorandum (OM)

The marketing and information package a seller or broker prepares for a property on the market, including its stated assumptions and financials.

An offering memorandum (OM) is the document a seller or broker distributes to market a property. It includes the property description, financials, rent roll summary, market context and the seller's stated assumptions.

Buyers underwrite against — but do not simply trust — the OM, checking its figures against the underlying rent roll and operating statements. Extracting the OM is a starting point, not the whole diligence.
