Terms of Service

The terms that govern your access to and use of the Framecast platform and services.

Agreement to Terms

These Terms of Service (the “Terms”) govern your access to and use of the Framecast platform, website, applications, and related services (together, the “Services”). By accessing or using the Services, or by entering into an order form or master services agreement that references these Terms, you agree to be bound by them on behalf of yourself and the organization you represent.

If you do not agree to these Terms, you may not access or use the Services. Where a separately negotiated master services agreement exists between Framecast and your organization, that agreement governs and prevails over these Terms to the extent of any conflict.

Eligibility & Accounts

The Services are intended for business use by commercial real estate professionals and institutions. You must be at least 18 years old and authorized to bind your organization to use the Services.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly at the contact address below of any unauthorized use or suspected breach of security. Access is provisioned through role-based permissions; you are responsible for managing the users you invite to your workspace.

License & Acceptable Use

Subject to these Terms and any applicable order form, Framecast grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term of your subscription.

You agree not to:

  • Reverse engineer, decompile, or attempt to derive the source code or underlying models of the Services, except to the extent permitted by law;
  • Resell, sublicense, or make the Services available to any third party except as expressly permitted;
  • Upload or process any data that you do not have the right to provide, or that infringes the rights of others;
  • Use the Services to build a competing product or to benchmark against a competing service;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems and networks.

Customer Data & Ownership

As between you and Framecast, you retain all right, title, and interest in and to the documents, deal materials, and other content you submit to the Services (“Customer Data”). You grant Framecast a limited license to host, process, and use Customer Data solely to provide and maintain the Services.

Your Customer Data is never used to train shared or foundation models, and is never exposed to other customers. Our handling of personal data is described in our Privacy Policy, and our security practices are described on our Security page. Any anonymised, aggregated, or de-identified data derived from use of the Services that does not identify you or any individual may be used to operate and improve the Services.

AI Output & Professional Judgment

The Services use artificial intelligence to extract, structure, summarize, and analyze information from deal documents. While Framecast is engineered for accuracy and traceability — including source citations for extracted values — outputs may contain errors, omissions, or interpretations that require human review.

The Services are a decision-support tool, not a substitute for professional judgment, independent verification, legal, tax, or investment advice. You are solely responsible for the decisions you make and the analyses you rely on. You should independently verify any output before relying on it for an underwriting, investment, or transaction decision.

Fees & Payment

Fees for the Services are set out in your order form or subscription plan. Unless otherwise stated, fees are exclusive of taxes, are non-refundable, and are due in accordance with the payment terms specified. We may suspend access for accounts with overdue balances after reasonable notice.

We may change our fees on renewal by providing notice before the start of the applicable renewal term. Continued use of the Services after a fee change takes effect constitutes acceptance of the revised fees.

Intellectual Property

The Services, including all software, models, designs, text, and other materials provided by Framecast (excluding Customer Data), are owned by Framecast or its licensors and are protected by intellectual property laws. Except for the limited license granted to you, these Terms do not transfer any right, title, or interest in the Services to you.

If you provide feedback or suggestions about the Services, you grant Framecast a perpetual, royalty-free license to use that feedback without restriction or obligation to you.

Confidentiality

Each party may have access to the other’s confidential information in connection with the Services. Each party agrees to protect the other’s confidential information using at least the same degree of care it uses to protect its own, and not to use or disclose it except as necessary to perform under, or as permitted by, these Terms. This obligation does not apply to information that is or becomes public through no fault of the receiving party, or that is independently developed without reference to the disclosing party’s information.

Disclaimers & Warranties

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Framecast disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that all outputs will be accurate or complete.

Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to these Terms or the Services, even if advised of the possibility of such damages.

Except for liability arising from a party’s breach of confidentiality, infringement of the other’s intellectual property, or gross negligence or willful misconduct, each party’s aggregate liability arising out of or relating to these Terms will not exceed the amounts paid or payable by you for the Services in the twelve months preceding the event giving rise to the claim.

Term & Termination

These Terms remain in effect for as long as you use the Services or maintain an active subscription. Either party may terminate for material breach that remains uncured 30 days after written notice. Upon termination, your right to access the Services ceases, and we will delete or de-identify your Customer Data in accordance with our Privacy Policy and any retention obligations.

Provisions that by their nature should survive termination — including ownership, confidentiality, disclaimers, limitation of liability, and governing law — will survive.

Changes & General Terms

We may update these Terms from time to time. When we make material changes, we will provide notice through the Services or by other reasonable means. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

These Terms constitute the entire agreement between you and Framecast regarding the Services, except where a master services agreement applies. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right.
